Title: What exactly happens when we fall asleep?

I never know the actual moment when I fall asleep - I just wake up and know I was asleep. So, what happens to make us lose consciousness, not knowing the moment when it happens?

Hypnagogia is the phenomenon you described when one fall asleep.
